What are the company registration documents?
For the company formation in Latvia the following documents:
- Application form KR4 must be signed by the authorized applicant (-s), usually the company’s founder (-s). The signatures must either be notary attested or signed with an e-signature.
- Company foundation decision or agreement (if more than one founder)
- Articles of association
- Statement issued by the financial institution that the share capital has been paid (for cash contributions)
- Statement of the appraiser regarding the value of the property to be invested (for investments in kind)
- Shareholders’ Registry signed by the authorized person, usually the board,. The signatures must either be notary attested or signed with an e-signature.
- Consent of each Board Member to hold office. (unless alredy included in Point 12 of the application form KR4. The signatures must either be notary attested or signed with an e-signature.
- Consent of each Member of the Council to hold office (if established)
- Statement from the Board about the registered office, stating that the business may be reached and has a legitimate reason to remain at the specified legal location. The notice must include the cadastral designation of the building, premises, or apartment (if the application is not signed by the board of directors, it must be provided)
- Questionnaire for adding information about a foreigner (foreigner) who has a legal connection to Latvia that forms or has developed mutual rights and obligations in the areas of commercial activities and taxes, but no personal identification number of the Republic of Latvia has been granted, to be signed by the foreigner themselves with a secure electronic signature in order to submit electronically; if there is no secure electronic signature, this document shall not be submitted.
- If the application is submitted via post, the receipts confirming the payment of the stamp duties should be attached
